Any disputes relating to these terms shall be resolved exclusively in the state or federal courts located in Santa Clara County, California. If any provision of these terms is found to be unenforceable or invalid, that provision will be limited or eliminated, to the minimum extent necessary, so that these terms shall otherwise remain in full force and effect and enforceable.

Titles
Although certain individuals are identified on this website as “Partners”, “Managing Partners”, or “Founding Partners,” such titles reflect business usage that is customary within the venture capital and private equity industry and are not intended to indicate that any such individual is actually a partner or general partner of any partnership as those terms are used for legal purposes.

Declaration for U.S. Defense and Intelligence Entities

MARTENSITE Management Co, LLC and the funds it advises (“MARTENSITE”) are based in the U.S. and controlled by U.S. citizens. Each MARTENSITE fund is controlled by a general partner entity organized in the State of Delaware in the U.S., and not by any of the limited partners of such MARTENSITE fund. Voting control of the general partner entities is shared by managing members who are all U.S. citizens.

Limited partners do not have rights to direct investment decisions of the funds, and do not have rights to access or compel access to any of the following of portfolio companies:

intellectual property or technologies;
information regarding employees, customers and related corporate strategies;
premises or facilities;
executives or employees; or
commercial rights or licenses.
